TGE Consignment Agreement - Edited 5/1/2024
This Consignment Agreement (the “Agreement”) states the terms and conditions that govern the contractual agreement between Tahoe Gear Exchange, located at 1076 Emerald Bay Road South Lake Tahoe CA USA 96150 (the “Consignor”) and (the “Consignee”) who agree to be bound by this Agreement.
WHEREAS, the Consignor owns right and title to the items described on Exhibit A attached hereto (the “Consigned Items”), and the Consignee desires to take possession of the Consigned Items with the intention of selling it to a third party.
NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties here to, the Consignor and the Consignee (individually, each a “Party” and collectively, the “Parties”) covenant and agree as follow:
1. RIGHT TO SELL: The Consigner hereby grants to the Consignee the exclusive right to display and sell the consigned Items according to the terms and conditions of this Agreement. No items shall be listed on other sites or locations by the consignee unless communicated and verified by the consigner.
2. MINIMUM PRICE: The price at which the Consignee may sell the Consigned Items shall be AMOUNT (the “Minimum Price”). In the event the Consignee sells the Consigned Items for less than the Minimum Price, the Consignor shall be entitled to the same payment the Consignor would receive as its share of the sale price under this Agreement had the Consigned Items been sold for the Minimum Amount, excluding 10% sales incentive discounts, and end of season sales.
3. CONSIGNMENT FEE: The Consignee shall be entitled to PERCENTAGE of the full purchase price of the Consigned Items (the “Consignment Fee”). The consignment payout period will be the first business day of each month unless otherwise requested by the Consignee. It is the responsibility of the Consignee to log in to their own Ricochet account to update their home address where the checks will be mailed each payout period.
Tier 1: Under $100 - 50% Consignee / 50% Consignor
Tier 2: $101-$200 - 55% Consignee / 45% Consignor
Tier 3: $201-$500 - 65% Consignee / 35% Consignor
Tier 4: Over $500 - 75% Consignee / 25% Consignor
4. INSURANCE: The Consignee represents and warrants that the Consignee shall maintain sufficient coverage to compensate the Consignor for the value of the Consigned Items in the event of damage due to fire, theft, or otherwise. Lost, Stolen or Donated items will receive 25% STORE CREDIT of the listed price in the event they disappear.
5. LOCATION OF ITEMS: The Consignee agrees and acknowledges that the Consigned Items shall only be kept and stored at 1076 Emerald Bay Road, South Lake Tahoe CA, 96150 unless otherwise agreed upon by the Consignor in writing.
6. TIMEFRAME AND DISCOUNTS: The timeframe of consignment shall be 90 days at the agreed upon price, and all unsold Consigned Items shall be responsibility of the Consignee to pick up within 7 days thereafter. In the event that all the Consigned Items are not sold within 90 days of this contract, and are not picked up within the 7 day accessory window, the Consignor will accept ownership of the items and either sell, donate or dispose of them. After the first 30 days items will be discounted 10%, 25% at 60 days and an additional 25% (50% total) after the full 90 days. Seasonal sales may also occur in which both the Consignee and Consignor shall split the discounted price accordingly.
7. CONSIGNOR REPRESENTATION: The Consignor hereby represents and warrants that the Consigner holds full title (or has received, in writing, the authorization to sell the Consigned Items by any necessary parties) to the Consigned Items.
9. NO MODIFICATION UNLESS IN WRITING: No modification of this Agreement shall be valid unless in writing and agreed upon by both Parties.

All payment details are handled by the secure third party processor.
